Formation
For clients interested in forming a tax-exempt organization, we offer counseling on what tax-exempt status to seek. We prepare and file all the documentation necessary for our clients to obtain tax-exempt status.
Maintaining Exempt Status
We assist our tax-exempt clients with general nonprofit corporate governance matters, including compliance with the “intermediate sanctions” regulations, establishing and implementing conflicts of interest policies, advising on unrelated business income issues, advising on private benefit transactions, and counseling on lobbying activities.
Charitable Donations
We support our clients’ fundraising activities with a variety of services, including negotiating donations of real property and conservation easements, advising on planned giving matters and charitable gift annuities, and advising on compliance with IRS gift substantiation requirements.
Commercial Transactions by Nonprofits
We assist our nonprofit clients in a broad range of commercial transactions, including leasing and purchasing real property; secured financings and establishing lines of credit; preparing, reviewing and negotiating contracts for services and equipment; and reviewing and negotiating hotel, convention center and exhibitor contracts and royalty and publication agreements.

We counsel our clients on a variety of employee-related matters, such as employment contracts, deferred compensation agreements for salaried executives and general employment standards.
